ZBrush doesn’t currently support importing polypaint colors in any format.
Actually I may be able to convert it for you if you can post it here (or a download link). To post here you’ll need to zip the file and there’s a maximum of about 500KB.

thank you for your reply and kindness! you dont need to do that. I polypainted from scratch this time. I just wanted to know how everyone is dealing with this issue.
You will need:
Blender (it’s free)
http://www.blender.org/
GoB ( GoB: an unofficial GoZ for Blender) you have to install this plugin as in post linked below

Meshlab (it’s free) it’s read polypaint data even from obj exported from zbrush with polypaint

How to:
Open your mesh with polypaint data in Meshlab export as *.ply
Import exported *.ply file into Blender set object mode to vertex paint
Select your model in scene then click on GoB icon which should be located on the top of blender (two small spheres)
Your model should be transferred from blender to zbrush with polypaint data

Blender opens VRML (WRL) files. You shouldn’t need the extra step of going through Meshlab, although I haven’t tried it myself. Not a bad idea to get MeshLab anyways since it’s free and another tool for your arsenal.
I also believe Blender can convert the polypaint into a UV texture map. I think I remember seeing that somewhere not too long ago. So if Zbrush won’t take the polypaint (it’s called vertex painting in other 3d programs) you could convert it to a texture map outside of Zbrush and then import the OBJ with MAT file.
